About the Department

 

The Secretariat department supports the boards of UOB and its Singapore subsidiaries in the discharge of their responsibilities and provides advice on governance matters. It also facilitates communication between the non-executive directors and senior management and manages the induction and professional development programme for directors.

We are looking to strengthen this role with someone who is a strong all-rounder, an expert communicator, planner who is analytical and detail oriented.  

As such, the successful candidate will play a pivotal role within the bank,  and perform all the important elements that are vital to the running of the company, and be a trusted board advisor with the challenges of an ever increasing regulatory environment and burden spotlighting the importance of this role.

This role will report to the Head of Group Legal & Secretariat, and will interact with and manage all senior stakeholders within the bank and its Board of Directors. 

 

The Head of Group Secretariat will have the following responsibilities:


•    Functional responsibility for the management of Group Secretariat and is responsible for:

o    Providing secretarial support to the UOB Board and Board committees.
o    Providing secretariat services to Group companies and associated companies.
o    Advising boards on developments in corporate governance matters.
o    Ensuring regulatory compliance with corporate governance matters.
o    Liaising with stakeholders (including regulators, investors, proxy advisers) on corporate governance matters.
o    Sharing best practices and resources with secretaries of overseas subsidiaries.

 

•    Formulation and Implementation of Strategies

o    Advise Board and BSUs on disclosure matters to comply with Companies Act, Banking Act, SGX Listing Rules, Corporate Governance Code and applicable MAS guidelines and notices (Rules & Regulations). Ensure accurate and timely disclosures and other compliance obligations under the Rules and & Regulations.
o    Guide the Country Secretariat Heads on HQ expectations and practices.

 

Job Requirements


The candidate should be a qualified person under section 171 (1AA) 
of the Companies Act:


i) a qualified person under the Legal Profession Act (Cap. 161);
ii) a public accountant;
iii)a member of the Institute of Singapore Chartered Accountants (formerly known as the Institute of Certified Public Accountants of Singapore);
iv)a member of the Chartered Secretaries Institute of Singapore;
v)a member of the Association of International Accountants 
(Singapore Branch); or
vi) a member of The Institute of Company Accountants, Singapore.

 

Minimum 10 years of experience in secretariat work with a listed company in Singapore.

Prior experience with a listed financial institution in Singapore is a plus.
