About the Department

The Legal and Secretariat function is comprised of the Legal and Secretariat teams. The Legal team works closely with all functions across the Group to provide timely, accurate and practical legal support. This facilitates decision-making in the delivery of efficient service to our customers, while ensuring that the Group’s interests are protected. The Secretariat team supports the boards of UOB and its Singapore subsidiaries in the discharge of their responsibilities and provides advice on governance matters. It also facilitates communication between the non-executive directors and senior management, and manages the induction and professional development programme for directors.

Job Responsibilities

  • Organise and attend Board/Board Committee meetings and review/prepare minutes thereafter.
  • Ensure that decisions made are disseminated to the respective parties for action and are followed through.
  • Ensure resolutions are prepared appropriately and expediently when required
  • Ensure statutory forms/documents are submitted to regulators timely.
  • Ensure that statutory records and registers are updated accurately and timely
  • Ensure compliance issues related to the Companies Act 2016, Financial Services Act 2013, and all other rules and regulations under the appropriate regulators
  • Manage the end-to-end production process of the Bank’s Annual Report
  • Liaise with internal/external stakeholders and regulatory authorities
  • Oversee corporate exercises including ensuring accuracy of the information or documents or advice provided and in compliance with all relevant statutory requirements

Job Requirements

  • Candidate must possess a ICSA/MAISCA or equivalent qualification and/or is a licensed secretary .
  • In-depth knowledge of statutory/regulatory requirements (such as the Companies Act 2016, Financial Services Act 2013, BNM Corporate Governance Guidelines, etc.)
  • Strong command in English and Bahasa Malaysia (both verbal and written).
  • Able to work with the board of directors.
  • Able to work with business teams, management team, and support teams bankwide across functions
  • Able to work closely with team and promotes a mindset of and practice staff engagement.
