About the Department

The Legal and Secretariat function is comprised of the Legal and Secretariat teams. The Legal team works closely with all functions across the Group to provide timely, accurate and practical legal support. This facilitates decision-making in the delivery of efficient service to our customers, while ensuring that the Group’s interests are protected. The Secretariat team supports the boards of UOB and its Singapore subsidiaries in the discharge of their responsibilities and provides advice on governance matters. It also facilitates communication between the non-executive directors and senior management, and manages the induction and professional development programme for directors. The Secretariat also shares best practices in corporate governance with the Group's overseas subsidiaries.

Job Responsibilities

  • To assist in the Project Management of the Annual Reports, including writing, proof-reading, editorial and cost management
  • To liaise with regulators including SGX and ACRA
  • To support board and board committee meetings and prepare minutes, board resolutions, extract and certificates
  • To undertake ACRA filing and SGX announcements and prepare dividend payments
  • To guide team on secretarial practice, occasionally conduct training
  • To review and attend to share transfers, replacement of share certificates, consolidation and split of shares held
  • To maintain statutory registers and secretarial records and Group secretarial system, processes and procedures (operating manuals)
  • In addition, he/she is required to manage the following:
    • Shareholder information
    • Director interest reporting
    • IPT/RPT reports 
    • Powers of attorney portfolio

Job Requirements

  • Minimum a recognised degree in Law or Accountancy, or Chartered Secretary qualifications (a person undergoing Chartered Secretarial training may be considered)
  • Good grasp of Companies Act, SGX Listing Rules and corporate governance matters
  • Proven experience in corporate secretarial work in business consulting organisations, financial institutions or professional firm
  • Good interpersonal and stakeholder management skills
  • Excellent verbal and written communication skills with good command of English
  • Meticulous and able to work under pressure
  • Self-motivated and prepared to work hard
  • Proven leadership experience
